WEBSITE SERVICE TERMS, PRIVACY POLICY, AND COOKIE POLICY

This document outlines the Terms and Conditions, Privacy Policy, and Cookie Policy governing the services provided by Calyx Interactive Limited (“the Company”, “we”, “us”, or “our”) to any individual or business (“Customer”, “you”, or “your”) who uses our services or website.

By purchasing, subscribing to, or using any services provided by Calyx Interactive Limited, you agree to be bound by the terms outlined within this document.


SECTION 1 – SERVICE OVERVIEW

Calyx Interactive Limited provides website design, hosting, maintenance, and domain registration services on a subscription basis. These services are intended primarily for small businesses, startups, and organisations that require a professional online presence.

Our services may include but are not limited to:

• Website design and development
• Website hosting
• Domain name registration and renewal
• Website maintenance and minor content updates
• Basic website technical support

The Company reserves the right to modify or expand the services offered at any time without prior notice.


SECTION 2 – SUBSCRIPTION MODEL

Our services operate on a subscription basis.

Initial Service Period

Customers agree to pay £85 per month for the first six (6) months of service. This initial period allows for the design, development, and setup of the website as well as ongoing hosting and support.

Ongoing Service

After the initial six-month period has been completed, the subscription fee will reduce to £60 per month for continued website hosting, maintenance, and support.

The subscription remains active until the Customer cancels the service or completes a buyout of the website.


SECTION 3 – PAYMENT TERMS

All payments must be made monthly in advance.

Payments may be processed using online payment providers such as Stripe or through manual invoicing issued by the Company.

Customers are responsible for ensuring that payments are made on time.

Failure to make payment may result in the following actions:

• Suspension of the website service
• Temporary removal of the website from public access
• Termination of the service agreement

The Company reserves the right to charge reasonable administration fees for late payments or repeated payment failures.


SECTION 4 – DOMAIN REGISTRATION

The domain name associated with the website is registered and managed by Calyx Interactive Limited during the active subscription period.

The Company covers the annual renewal cost of the domain while the Customer maintains an active subscription.

The domain remains under the control and management of the Company until one of the following occurs:

• The Customer completes the website buyout
• The Company transfers the domain as part of a separate written agreement

If the subscription is cancelled, the domain remains under the ownership and management of the Company.


SECTION 5 – WEBSITE OWNERSHIP

All websites created by Calyx Interactive Limited remain the intellectual property of the Company unless a buyout payment has been completed.

The Customer is granted permission to use the website during the active subscription period but does not obtain ownership rights to the website itself.

This includes but is not limited to:

• Website design
• Website code and software
• Graphics and layout
• Website infrastructure

Ownership rights are transferred only when the Customer completes the buyout process described in Section 8.


SECTION 6 – CANCELLATION POLICY

Customers may cancel the service at any time.

Cancellation requests must be submitted via email or text message and must clearly contain the phrase:

“CANCELLATION REQUEST”

If this phrase is not clearly included, the request will not be considered a valid cancellation notice.

Once a valid cancellation request is received, the Company will confirm the cancellation and begin the service termination process.


SECTION 7 – WEBSITE DELETION

Upon cancellation of the subscription service:

• The website service will cease
• The website will be permanently deleted after seven (7) days
• The Company will not retain backups of the website

Once the website has been deleted, it cannot be recovered.

The domain name associated with the website will remain under the control of Calyx Interactive Limited unless the Customer has completed the buyout process.


SECTION 8 – WEBSITE BUYOUT OPTION

Customers may purchase full ownership of their website after the initial six-month service period.

The starting buyout price is £500.

Beginning from month seven, the buyout price increases by 1% per month.

Once the buyout payment has been completed in full:

• Ownership of the website will transfer to the Customer
• The domain name will be transferred to the Customer
• The Customer will receive access credentials to manage the website independently
• The Company will transfer hosting access for the website domain

Once the transfer process has been completed, the Company will have no further obligations to maintain or support the website unless a new agreement is made.


SECTION 9 – WEBSITE SUPPORT AND UPDATES

During the active subscription period, the Company provides reasonable maintenance and minor updates to the website.

Examples of minor updates include:

• Text changes
• Image replacements
• Contact information updates

Major redesigns, new functionality, or additional development work may incur additional fees.


SECTION 10 – PAYMENT DISPUTES

If a Customer believes a payment has been processed incorrectly, they must contact the Company or their assigned service representative as soon as possible.

The Company will review the request and may issue a refund if a billing error has occurred.

If a Customer did not submit a valid cancellation request before the billing date, the payment may still be considered valid.


SECTION 11 – SERVICE SUSPENSION

Calyx Interactive Limited reserves the right to suspend or terminate services if:

• Payments remain unpaid
• The service is used in violation of applicable laws
• The Customer breaches the terms outlined in this agreement

Suspension may include temporary removal of the website from public access until the issue has been resolved.


SECTION 12 – LIMITATION OF LIABILITY

Calyx Interactive Limited will make reasonable efforts to ensure website reliability and service availability.

However, the Company shall not be held responsible for:

• Loss of business revenue
• Loss of data due to external factors
• Downtime caused by third-party hosting providers or services
• Technical issues beyond the Company’s reasonable control

Customers use the services at their own risk.


SECTION 13 – PRIVACY POLICY

Calyx Interactive Limited is committed to protecting the privacy and personal data of its customers.

We may collect the following information:

• Name and business name
• Email address
• Phone number
• Billing information
• Website usage information

This information is used only for:

• Providing services
• Managing customer accounts
• Processing payments
• Communicating with customers

We do not sell or share personal information with third parties unless required by law or necessary to provide our services.


SECTION 14 – DATA PROTECTION

Calyx Interactive Limited complies with applicable UK data protection laws, including the UK General Data Protection Regulation (UK GDPR).

Customers have the right to request access to their personal data and may request correction or deletion of their data where applicable.


SECTION 15 – COOKIE POLICY

Our website may use cookies to improve user experience and website functionality.

Cookies may be used for:

• Website performance monitoring
• Security and fraud prevention
• Analytics and usage statistics

Users may disable cookies through their browser settings if they choose.


SECTION 16 – CHANGES TO THIS DOCUMENT

Calyx Interactive Limited reserves the right to modify this document at any time.

Any updates will be published on the Company website with the updated date shown at the top of the document.


SECTION 17 – GOVERNING LAW

These Terms and Conditions are governed by the laws of the United Kingdom.

Any disputes arising from these terms shall be subject to the jurisdiction of the courts of the United Kingdom.
